TERMS OF SERVICE FOR ALTSCHOOL EUROPE 

Please read these Terms of Service (“Terms”), which set forth the legally binding terms and conditions between you (“You”) and AltSchool Europe (“AltSchool” or “we”, “our” or “us”), a subsidiary of TalentQL Inc. It governs your access to AltSchool’s services and the use of AltSchool’s website, Slack channel, and any other platform introduced by AltSchool (collectively the “Platform” or “Services”).

Our collection and use of your personal information in connection with your use of our services is described in our Privacy Policy

AltSchool reserves the right, at its sole discretion, to modify or replace these Terms of Service from time to time. If you object to such changes, your sole recourse will be to cease using the Platform. Your continued use of the Platform following the changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the amended Terms.

Your access to and use of our Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, agents, and any other person who accesses or uses our Services. 

Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.

Please read these Terms carefully before accepting to be bound by the Terms. 

You agree that by accessing the Services, you have read, understood, and agreed to be bound by these Terms. 

AS USED IN THESE TERMS, THE SERVICES MEAN THE ENTIRETY OF THE WEBSITE AND APPLICATION INCLUDING, BUT NOT LIMITED TO, ALL CONTENT, PRODUCTS, SERVICES, INFORMATION, AND ANY PORTIONS THEREOF. BY USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO SUE IN COURT AND YOUR RIGHT TO BRING ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING AGAINST US. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, WE’LL BE SAD TO SEE YOU GO, BUT PLEASE DO NOT USE THE SERVICES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES, OR THESE TERMS IS TO CEASE USING THE SERVICES. IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

  • Definitions and Interpretation

For the purpose of these Terms, unless the context otherwise requires:

  • “Account or Learner Account”  means an account created by the Learner on AltSchool’s Website.
  •  
  • “Course Fees” means the tuition payable by the Learner.
  •  
  • “Event of Default” shall have the meaning ascribed to it in clause 14. Learner(s) means the user who creates an Account on the Platform and has access to the Program Contents.
  •  
  • “Party” means the Learner and AltSchool individually.
  •  
  • “Parties” means the Learner and AltSchool collectively.
  •  
  • “Personal Data” means any information about the Learner provided to Us by You or in the use of Our Platform and services such as your name, email address, physical address, password, billing and payment information. This includes non-personal information like the domain name of your internet service provider, your geographical location, operating system and other relevant statistics.
  •  
  • “Privacy Policy” means our privacy policy available on the Site, which sets out how personal data We collect from You, or You provide to Us, will be used and processed by Us.
  •  
  • “Program or Program Contents” means all information and data (including text, images, photos, videos, audio and documents) contained in the courses available on AltSchool’s Platform or made available by AltSchool.
  •  
  • “Services” shall have the meaning ascribed to it in Clause 5.
  •  
  • “Site” means AltSchool’s Website accessible at https://altschooleurope.com/
  •  
  • “User(s)” means any individual or organisation that uses any of AltSchool’s Services on the Platform which include users of the Learning Infrastructure Service.
  •  

Interpretations

All headings in these Terms are for convenience only and shall not be used in the interpretation unless these Terms indicate a contrary intention.

  1. the singular shall include the plural and vice versa.
  2. a reference to any one gender shall be capable of being construed as a reference of any of the others.
  3. words or phrases defined in these Terms shall have the meanings assigned to them.
  • Acceptance of Terms and Conditions
  • The Platform and the Program Contents are offered subject to acceptance of all the terms and conditions contained in these Terms and all other rules, conditions, policies and procedures that may be introduced from time to time by AltSchool, which are incorporated by reference. 
  • Some of the Program Contents available through the Platform may be subject to additional terms and conditions adopted by AltSchool. Your use of the Program Contents is subject to the additional terms and conditions, which are incorporated into these Terms by this reference.  
  • AltSchool reserves the right to change, suspend, or discontinue the Program or any part of it (including but not limited to, the availability of any feature, database, or content) at any time for any reason. AltSchool may also impose limits on certain features or restrict your access to parts of or the entire Platform without notice or liability.


  • Scope of AltSchool’s Services

AltSchool provides corporate and executive learning services to organizations and learning infrastructure solutions to educational institutions. Our offerings include but are not limited to the following: 

  • Pipeline: This is a fully online program that runs for 3 (three) months and is priced at €1500 (one thousand, five hundred Euros) upfront or €1750 (one thousand, seven hundred and fifty Euros) through a 3-month subscription. The program is designed to bridge the gap between entry-level to mid-level professionals and mid-level to senior-level professionals providing software engineering, product development & management and business development services. 
  1. Executive Education: This is a hybrid program, designed for mid-level managers and C-suite executives, that runs for a duration of 2-12 (two – twelve) weeks. Participants can complete the initial stages online from anywhere in the world but must attend a 1–2 (one-two) week retreat in Malta to conclude their program and participate in the physical graduation. The cost ranges from €400 (four hundred Euros) to €7500 (seven thousand, five hundred Euros), depending on the selected plan.
  2. Learning Infrastructure Service: Through our expertise in learning content development and learning management system (“LMS”) administration, this service is designed to support institutions and learning program providers to create, produce, and deliver their education programs online. Pricing for this service is determined based on the scope of each engagement. 
  3. Diploma: This program provides self-paced learning opportunities for learners and affords them an option of getting learning support such as mentorship, career development & guidance and internship opportunities. This program run from 6-12 (six-twelve) months and costs between €35 (thirty-five Euros) to €55 (fifty-five Euros) in monthly subscription fees depending on the plan the Learner chooses.
  • Learner Account 
  • To access our Platform, you must set up an Account on the Site. You will be required to provide us with certain information about yourself when setting up this Account. By providing us with this information, you represent and warrant that you have the authority to legally use our Platform and grant us all permissions and licenses to perform our obligations as provided in these Terms.
  • Our Services can only be utilised by persons over the age of 18 (eighteen). AltSchool reserves the right to verify the authenticity of any accounts created on the Site.
  • During the application process and throughout your use of our Platform and Services, you must always provide us with accurate, current, and complete information. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account on our Platform and access to our Services. 
  • You are responsible for safeguarding the password created to access our Platform and for any activities or actions under your password.
  • You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Learner Account.
  • You may not use as a username, the name of another person or entity or a name that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.
  • You are liable for all activities conducted through your Account unless such activities are not authorised by you and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).
  • You must notify us immediately upon learning that someone else may be using your Account without your permission (or if you suspect any other breach of security) by contacting our customer help by filling the customer help form or contacting us at [email protected].


  • Notices and Communications
  • By creating an Account, you agree to the following: 
  • We can provide materials and other information about your legal rights and duties to you electronically;
  • We can send all important communications, and reminders (collectively referred to as “Notifications”) to you electronically via our Platform or to an email address you have provided us with;
  • We are authorised to share, receive and use your data/information; 
  • We can alert you when Notifications are available, by sending you an electronic communication; and 
  • By consenting, the electronic Notifications shall have the same meaning and effect as if We provided paper Notifications to you. When we send you an email alerting you that Notifications are available for you, such electronic Notifications shall have the same effect as paper Notifications whether or not you chose to view the Notifications, unless you had previously withdrawn your consent to receive electronic Notifications.


  • The Learner’s Obligations 
  • The Learner shall:
      1. adhere to the general code of conduct governing the Services as prescribed by AltSchool from time to time;
      2. pay the requisite Course Fee upon acceptance of an admission offer into any Program on the Platform;
      3. not make copies or resell, share, donate or transfer the Program Content to third parties; 
      4. participate in all trainings, assignments, and projects assigned by AltSchool or any of its instructors;
      5. notify AltSchool of any intention to withdraw from any Program or course   offered on the Platform;
      6. notify and seek AltSchool’s permission for the deferment of the Learner’s admission into a Program or course;
      7. be responsible for the provision of all devices needed to effectively participate in the Course such as laptops, internet access, etc;
      8. timely inform AltSchool of any circumstances that may prevent it from fulfilling its obligations under these Terms; 
      9. be available for discussions with AltSchool to resolve issues that may arise, when necessary; 
      10. fully cooperate with AltSchool to carry out its obligations under these Terms; and
      11. perform such other responsibilities as may be reasonably necessary to fulfil its obligations under these Terms. 
  • Course Fees and Payment
  • Upon the acceptance of the admission offer, the Learner shall pay the prescribed fee to access the Program Contents.
  • AltSchool uses a third-party payment processor to process your payments for the Course Fees. By initiating the payment of the Course Fees, you authorize AltSchool to disclose your information and payment instructions to the payment processor and agree to be bound by the current version of the processor’s privacy policy and terms of service


  • Intellectual Property
  • The Site, original content, features and functionality therein are and shall remain the exclusive property of AltSchool. Our trademarks and trade name may not be used in connection with any product or service without our prior written consent.
  • You shall not use, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit the Site or collective content except as expressly permitted by AltSchool.
  • You acknowledge and agree that all contents and all related materials provided by AltSchool shall remain the property of AltSchool and that AltSchool shall be the sole and exclusive owner of all copyrights and other intellectual property rights in the courses.  
  • Subject to your compliance with these Terms, AltSchool grants you a limited, non-exclusive, revocable, non-transferable licence to access and view any content made available on or through the Site and accessible to you.
  • You understand that when using the Site and Services you may be exposed to content from third-party sources and that we are not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such content. 
  • We are not responsible for and do not endorse the content that is posted on the Platform by other users, including without limitation any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with such content. We may, but have no obligation to, pre-screen, monitor, edit, or remove any content or accounts containing content that we determine in our sole discretion violates these Terms. 
  • We appreciate hearing from our Learners and welcome your comments regarding our Services. Please be advised, however, that if you send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively, the “Submission”), you grant us a royalty-free, worldwide, perpetual license to use the Submission for any purpose whatsoever, commercial or otherwise. None of the Submission shall be subject to any obligation of confidence on our part and we shall not be liable for any use or disclosure of any Submission.


  • Changes to Program Contents
  • AltSchool reserves the right to cancel, interrupt, reschedule, or modify any Program, or change the point value or weight of any assignment, quiz, or other assessment, and shall only communicate such changes to Learners currently enrolled in the affected Program at the time of such change.  


  • Scholarships, Gifts and Promotional Codes
  • AltSchool or our partners may offer scholarships, gifts and promotional codes (“Promotion(s)”) to Learners. These Promotions may be used to access various Programs on the Platform subject to the terms and conditions of each Promotion. 
  • These Promotions, and the value linked to them, may expire if not used within the period specified by AltSchool. Gift and promotional codes offered by AltSchool may not be refunded for cash unless otherwise specified in the terms included with the Promotion or as required by applicable law. 


  • Usage of the Contents Submitted by You
  • The content you post as a Learner (including courses) remains yours. By posting any content, you allow AltSchool to reuse and share it, but you do not lose any ownership rights you may have over your content. 
  • When you post content, comments, questions, and reviews, and when you submit ideas and suggestions for new features or improvements to us, you authorize AltSchool to use and share this content with anyone, distribute it, and promote it on any platform and in any media, and to make modifications or edits to it as we see fit.
  • By submitting or posting content on or through our Platform, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and image) in any and all media or distribution methods (existing now or later developed). This includes making your content available to other companies, organizations, or individuals who partner with AltSchool, as well as using your content for marketing purposes. You also waive any rights of privacy, publicity, or other rights of a similar nature applicable to all these uses, to the extent permissible under applicable law. You represent and warrant that you have all the rights, power, and authority necessary to authorize us to use any content that you submit. You also agree to all such uses of your content with no compensation paid to you.
  • Notwithstanding any of the above, where a User uses the Learning Infrastructure Service & LMS administration on the Platform to host their educational content (“LMS Content”), AltSchool shall not use, reproduce, distribute, or publish the LMS Content without the User’s prior written consent, except as necessary to provide the services and functionality of the Platform.  


  • Live and Interactive Sessions
  • You may not do any of the following while during or after any live and interactive sessions (the “Sessions”):
  1. use the Sessions for any purpose other than to perform the activities as instructed by AltSchool or its instructors;
  2. exceed the usage limitations as prescribed by AltSchool;
  3. record the Sessions and share with other parties without obtaining the required permission;
  4. take any action in the Sessions that results in a disruption or interference of the Platform or the stability of our infrastructure; or
  5. use any data or information other than simulated, anonymous, non-personal, non-live data or information during the Sessions.
  • These restrictions are in addition to any other restrictions stated in the AltSchool code of conduct and other relevant policies.  


  • User’s Representations and Warranties

You make the following representations and warranties to us at the time of agreeing to these Terms:

Where you are an individual: 

  • You are over the age of 18 (eighteen) years;
  • You are of sound mind and have the capacity to use the Program Contents as a Learner; and
  • All information that you provide to us is true and accurate to the best of Your knowledge.

     Where you are an organisation:

  1.  You have been duly and lawfully created, formed, and registered in your jurisdiction, and you have all necessary power and authority to conduct your business;
  2.  You have the full power and authority to enter into and perform your obligations under these Terms and your execution and performance of your obligations will not violate any applicable laws, regulations, or agreements; and
  3.  You own or have the necessary licenses, rights, and permissions to use, distribute, and exploit the intellectual property rights, including but not limited to trademarks, copyrights, & trade secrets and that your use, distribution, and exploitation of the intellectual property rights will not infringe on the rights of any third party.
  •  Event of Default 
  • An Event of Default refers to the following instances where: 
  • You fail to pay the complete fees for the Services as at when due;
  • As a learner enrolled in any of our Programs, you continuously fail to participate in tasks or projects assigned to you;
  • You default on any of your obligations under these Terms;
  • As a learner enrolled in any of our Programs, you refuse to submit assignments and tasks as and when due; and 
  • You engage in acts that are against the codes and conduct of AltSchool. 
  • Upon the occurrence of an Event of default as mentioned above, we may without prejudice to any other right or remedy granted to Us under any law:
      1.  terminate these Terms in accordance with clause 18; 
      2.  revoke Your admission into the course; and 
      3. withdraw all access to Our Platform and all Program Contents.
  •  AltSchool reserves the right to institute legal proceedings against you to recover the fees for the Services, with or without prior notice.
  • You shall be liable for all legal costs and expenses incurred by AltSchool for any action AltSchool takes against you for the recovery of fees. 


  • Prohibited Activities
  • You shall not use the Platform for any purpose that is prohibited by these Terms. You are responsible for all your activity in connection with the Services. Violation of any of our rules or policies may result in the termination and cancellation of your activity and/or account. You acknowledge and agree that we may terminate any AltSchool activity initiated at any time for any reason (including, but not limited to, our independent assessment or the receipt of claims or allegations from third parties or authorities).
  • You shall not utilise the Platform or the Services for any illegal purpose. 
  • You are solely responsible for compliance with all laws, rules, regulations, and tax obligations that may apply to your use of the Services. In connection with your use of the Platform, you will not and will not assist or enable others to:
  • breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or these Terms;
  • use the Platform for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies endorsement, partnership or otherwise misleads others as to your affiliation with AltSchool;
  • harm, stalk, harass or otherwise violate the rights of others in any way in your use of the Platform;
  • impersonate any person or entity, including, but not limited to, an AltSchool official, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • copy, store or otherwise access or use any information, including personally identifiable information about any other Learner, contained on the Platform in any way that is inconsistent with AltSchool’s Privacy Policy or these Terms or that otherwise violates the privacy rights of Learners or third parties;
  • use the Platform in connection with the distribution of unsolicited commercial messages (“spam”);
  • intentionally or unintentionally violate any applicable local, state, national or international law;
  • discriminate against or harass anyone on the basis of race, tribe, origin, religion, gender, physical or mental disability, medical condition, marital status, or age, or otherwise engage in any abusive or disruptive behaviour;
  • use, display, mirror or frame the Platform, or any individual element within AltSchool, AltSchool’s name, any trademark, logo or other proprietary information belonging to AltSchool, or the layout and design of any page or form contained on a page in the Platform, without AltSchool’s express written consent;
  • dilute, tarnish or otherwise harm AltSchool’s brand in any way, including through registering and/or using AltSchool or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domain names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to AltSchool’s domains, trademarks, taglines, or promotional campaigns;
  • use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Platform for any purpose;
  • avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by AltSchool or any of AltSchool’s providers or any other third party to protect the Platform;
  • attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Platform;
  • take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Platform; 
  • violate or infringe anyone else’s rights or otherwise cause harm to anyone.
  • If you feel that any User you interact with through the Platform, is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behaviour, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to AltSchool by contacting us with details of police report or other law enforcement report ; provided that your report will not obligate us to take any action beyond that required by law (if any) or cause us to incur any liability to you.

  • Links to Other Websites 
  • Our Platform may contain links to third-party websites or services that are not owned or controlled by AltSchool.
  • AltSchool has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that AltSchool shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
  • We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. 
  • Termination
  • We may terminate or suspend your Account immediately with or without prior notice or liability, for any reason whatsoever, including:
  • where you breach these Terms;
  • upon the occurrence of an Event of Default as stated in clause 14 above;
  • Upon termination, your right to use our Platform will immediately cease.
  •  Indemnity
  • You agree to indemnify and hold harmless AltSchool, its affiliates and subsidiaries, its officers, directors, and employees, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profits, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred by it, its affiliates and subsidiaries, its officers, directors, and employees, as a result of:
  1. Your fraudulent or illegal use of our Platform or Services;
  2. any inaccurate, incomplete or misleading information that you have provided to us;
  3. any unauthorised access to your Account as a result of your failure to keep your username and password confidential;
  4. any service that you have offered, whether with or without our permission to a third party using AltSchool’s Services or Platform; and
  5. any claim made against AltSchool and/or its stakeholders for actual or alleged infringement of a third party’s intellectual property rights arising out of or in connection with the use of our Services or use of the Platform.
  • No Class Action
  • Except as expressly provided for under applicable laws, both Parties agree that we can each only bring claims against the other on an individual basis. This means: 
  1. neither Party can bring a claim as a plaintiff or class member in a class action, consolidated action, or representative action; 
  2. an arbitrator can’t combine multiple people’s claims into a single case (or preside over any consolidated, class, or representative action); and 
  3. an arbitrator’s decision or award in one claimant’s case can only decide the disputes of that user, not other users. 
  • Nothing in this clause limits the Parties’ rights to resolve a dispute by mutual agreement through a class-wide settlement of claims. 


  • Force Majeure 

AltSchool shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to acts of God, war, riot, civil commotion, weather, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control.

  • Limitation of Liability

In no event shall AltSchool, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:  

  1. your use of the Platform or the Services or your inability to use the Platform or the Services;
  2. any conduct or content of any third party on the Platform; 
  3. any unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
  4. any legal proceedings between you and any third parties.
  • Disclaimer
  • Your use of the Service is at your sole risk. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
  • The Services provided by AltSchool are intended for informational and educative purposes only. The content is not intended to constitute professional advice, including but not limited to commercial, industrial or financial advice.
  • Learners acknowledge that their use of the Service is at their own risk and discretion. AltSchool shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or reliance on the Service.
  • On, the Site, past performance is not indicative of future results, and no guarantees are made regarding continuous benefit to the Learners. Learners should be aware that use of AltSchool’s Services and/or Information do not guarantee any specific outcomes as may be expected by the Learner.  All uses of the contents of the Platform, other than for personal uses, are prohibited.
  • AltSchool, its subsidiaries, affiliates, and its licensors do not warrant that a) the Platform will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Platform is free of viruses or other harmful components; or d) the results of using the Platform will meet your requirements.


  • Governing Law and Dispute Resolution
  • These Terms shall be governed by and construed in accordance with the Laws of Malta. 
  • Any disputes arising under or in connection with the validity, interpretation and performance of these Terms that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved through arbitration in accordance with the Arbitration Act (Chapter 387 of the Laws of Malta).  
  • The arbitration shall be conducted by a single arbitrator appointed by the Malta Arbitration Centre. The seat of arbitration shall be Malta, and the language of arbitration shall be English.  
  • Each Party shall bear its cost in connection with the arbitration and the arbitrator’s fees shall be split equally between both Parties. 
  • Changes to Terms & Conditions

AltSchool reserves the right, in its sole discretion, to change the Terms of Service. AltSchool encourages you to periodically review the Terms to stay informed of our updates.
